CHILL INTO WELLNESS GIVEAWAY - Terms and Conditions

1. Introduction

1. The CHILL INTO WELLNESS GIVEAWAY is promoted by The Cookware Company Australia Pty Ltd (ACN 639 575 054) of Level 21, 55 Collins Street, Melbourne, Victoria 3000 in collaboration with Unicorn Superfoods Ltd (ACN 628437641), 7 Vasey Court Upper Coomera 4209.
2. By entering the Competition, all entrants agree to be bound by these terms and conditions and any terms found on the Competition advertising (Terms). Any breach of these Terms may result in your disqualification from the Competition.
3. The Competition is open from 01:00 PM on 31ST of Oct to 12:00 PM on 7th of Nov. All times referenced in these Terms are to the time in Melbourne, Australia.

2. Eligibility

1. The Competition is open to individuals residing in Australia aged 18 years or over at the time of entry, who have an Instagram account.
2. Directors and employees (and their Immediate Families) of The Cookware Company Australia Pty Ltd and our Related Bodies Corporate are ineligible to participate in the Competition.
3. Immediate Families means spouse, child, parent or sibling (whether natural, step or adopted).
4. Related Body Corporate has the meaning in the Corporations Act 2001 (Cth)

3. How to Enter

1. The Competition is a game of chance.
2. To enter the Competition, you must, during the Promotion Period:
   • Like this photo;
   • Follow both @theoriginalgreenpan.anz and @unicornsuperfoods; and
   • Tag a friend who loves making colourful smoothie bowls as much as you!
3. The Competition is in no way sponsored, endorsed or administered by, or associated with, Instagram. You release Instagram from any claims related to this Competition.
4. We will not accept entries submitted after the Promotion Period.
5. The time of each entry will be the time on the entry displayed on our device or system.
6. We may verify the validity of entries and entrants (including your identity, age and place of residence), and disqualify any entrant:
   • who is ineligible to enter the Competition;
   • whose entry is incomplete, illegible or does not comply with these Terms; or
   • who tampers or interferes with the Competition.
7. If there is a dispute about your identity or details, we reserve the right to determine your identity or details and our determination is final.

4. Draw

4.1 Details

1. There will be 1 prize winner announced on @theoriginalgreenpan.anz and @unicornsuperfoods.
2. To determine the winner, we will conduct at 1PM on 11/11/2025 at The Cookware Company Hong Kong office, Melbourne Time.
3. We may select additional reserve entries as the winning entries in case an invalid entry or ineligible entrant is drawn or the winner fails to claim the prize in accordance with these Terms.

4.2 Notification and prize claim process

1. Within 5 business days of determining the winner, we will notify them in writing via direct message through Instagram (Winner Notification).
2. To claim the prize, the winner must respond to the Winner Notification with all requested information within 3 business days (Claim Period).
3. Once the prize been claimed in accordance with clause 4.2(b), we will:
   • publish the winner on @theoriginalgreenpan.anz within 3 business days]; and
   • arrange for delivery or provision of the prize within 5 business days.
4. It is your responsibility to notify us in writing if your contact details change.

4.3 Unclaimed prize

1. If the winner fails to claim the prize despite our reasonable efforts to contact them in accordance with clause 4.2, we will:
   • determine a new winner by allocating the prize to the next reserve winner within 2 business days of the end of the Claim Period; and
   • the process in clause 4.2 repeats.
2. We will continue the process set out in clause 4.3(a) until a winner claims the prize.
3. Our determination of the winner is final.

5. Prize

1. The total prize pool for the Competition is AUD$ $990.48 (inclusive of any GST) and comprises the following prizes:
   • 1x GreenPan Frost
   • 1x Vanilla Cake Protein
   • 1x Chocolate Fudge Plant Protein
   • 1x Pink Pitaya
   • 1x Matcha
   • 1x Blue Spirulina
   • 1x Healthy Gut Blend
   • 1x Acai Berry Powder
   • 1x Beauty Collagen Blend
   • 2x Gold Star Brass Spoon
   • 2x Gold Shell Brass Spoon
   • 1x Beauty Tumblr
2. We accept no responsibility for any change in prize value from the start of the Promotion Period to the date the prize is claimed or used.
3. If a prize becomes unavailable, we may substitute it for an equivalent prize.
4. Prizes are not transferable, saleable or redeemable as cash, credit or equivalent, and may not be resold or used for advertising or other commercial purposes.
5. Instagram is not a participant in or sponsor of the Competition.
6. We are not liable for any additional or incidental costs in connection with winning the Competition or the prizes offered. You should seek independent advice, as implications (such as tax) may arise as a result of winning the prizes.

6. Entries

1. You are responsible for the entry you submit, including its text, images, videos, and other content. You agree that:
   • you will not submit an entry that is unlawful, fraudulent, defamatory, derogatory, sexually inappropriate, violent, abusive, harassing, threatening, or inappropriate with respect to race, religion or gender, infringes intellectual property rights, or breaches privacy or data protection laws or other rights;
   • you will obtain the prior written consent of any person who is reasonably identifiable in your entry to include them in the entry; or
   • you own all rights in your entry or have obtained the prior written consent of any person who has jointly created, or has rights in, your entry to submit the entry;
   • your entry does not contain viruses and will not cause injury or harm; and
   • you will comply with all applicable laws, including copyright, defamation, and privacy and data protection.
2. You are responsible for any costs associated with entering the Competition, including costs charged by your internet provider.

7. Privacy

1. By entering the Competition, you consent to us:
   • using and disclosing your personal information for the purpose of administering the Competition, including to communicate with you and arrange for the prize to be provided to you;
   • publishing your name, initials, postcode, and/or any other personal information if you win, as required by relevant laws; and
   • publishing your name and entry on our websites, social media channels or promotional materials, without payment to you, for the purpose of promoting the Competition, us and any products or services provided by us or our Related Bodies Corporate.
2. We may disclose your personal information to our Related Bodies Corporate, agents and service providers for the purposes described above.
3. We will use your personal information in accordance with these Terms and our Privacy Policy.
4. Our Privacy Policy contains information about how you can access or seek correction of your personal information or make a privacy complaint and our contact details for those purposes. You can view our Privacy Policy at https://greenpan.com.au/policies/privacy-policy.
5. If you do not consent to the collection of your personal information for the purposes described above, you must not enter the Competition.

8. Events Outside Our Control

1. Nothing in these Terms excludes, restricts or modifies any rights or remedies under applicable law that cannot be excluded, restricted or modified.
2. Subject to clause 8.(a) and to the fullest extent permitted by law, we and our Related Bodies Corporate are not liable for any loss or damage arising from Events Outside Our Control.
3. Events Outside Our Control include:
   • any error, omission, interruption, delay or communications line failure, caused by a third party;
   • any technical difficulties, traffic congestion on the internet or a website, or equipment malfunction (whether or not under our control);
   • any theft, unauthorised access or third party interference;
   • any tax liability or similar charge incurred by a winner in winning the Competition or claiming the prize; and
   • any other event or circumstance beyond our reasonable control, including natural disaster, acts of war, riots, vandalism, failure or shortage of power supplies or other essential utility, pandemic, epidemic, quarantine or other widespread or serious threat to human health (including an outbreak or recurrence), strike, a change in applicable law or platform rules, government imposed shutdown or closure, infection by computer virus, bugs, tampering, unauthorised intervention, or fraud.
4. If the Competition is affected by, or is not capable of being conducted as planned due to, an Event Outside Our Control, or an event occurs that affects the security, fairness, integrity or proper conduct of the Competition, we may:
   • disqualify any entrant who tampers or interferes with the Competition; or
   • subject to any required regulatory approval, cancel, modify, reschedule or suspend the Competition, as appropriate.

9. General

1. Any failure to enforce our rights is not a waiver of those rights.
2. Any part of these Terms that is illegal, void or unenforceable may be severed, and the remainder will continue in force.
3. The Competition and any issues relating to the construction, validity, interpretation and enforceability of these Terms will be governed by the laws of Victoria, Australia.
